Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES. A PURCHASE OR PAYMENT WILL NOT INCREASE OR IMPROVE YOUR CHANCES OF WINNING.

1. GENERAL. The “AXS and trivago Summer Venue Sweepstakes” (the “Sweepstakes”) is a sweepstakes where eligible entrants may have the chance to win the prize described below. The foregoing is a general description only of this Sweepstakes and is qualified in its entirety by these Official Rules.

2. ELIGIBILITY. This Sweepstakes is only open to individuals who, as of the beginning of the Entry Period (defined below): (i) are legal residents of the United States and the United Kingdom (the “Territory”) but excluding New York, Florida and any United States territories, possessions and commonwealths (the “Excluded Territories”) (ii) are at least twenty-one (21) years old. This Sweepstakes is void outside the Territory and the Excluded Territories and where prohibited or restricted by law. Employees, officers and directors of Sponsor or Administrator, its parent, affiliates, subsidiaries, divisions, and the immediate families (defined as parents, spouses, children, siblings, grandparents, and their respective spouses) or members of the same household (whether related or not) of each such employee, officer and director, are not eligible to enter. This Sweepstakes, and any website pages and advertisements relating thereto, is intended for viewing only within the Territory, and entrants must be present in the Territory at the time they enter.

3. SPONSOR. The Sponsor of the Sweepstakes is trivago N.V., Kesselstraße 5-7, 40221 Düsseldorf, Germany (“Trivago” or “Sponsor”).

4. ADMINISTRATOR. The Administrator of the Sweepstakes is AXS Group LLC, 425 W 11th Street, Los Angeles, CA 90015 (“AXS” or “Administrator”).

   Sponsor and Administrator are collectively referred to herein as “Promotion Entities.”

5. TIMING. This Sweepstakes begins at 10:00 AM Pacific Time /10:00 GMT on Wednesday, April 19, 2023, and ends at 10:00 PM Pacific Time/22:00 GMT on Wednesday, May 17, 2023 (the “Entry Period”). Administrator’s computer is the official timekeeping device for the Sweepstakes.

6. HOW TO ENTER. Each participant will earn one (1) entry for each Qualifying Entry (as defined below). Each participant is limited to one (1) Qualifying Entry. A “Qualifying Entry” is the submission of the requested information into the form provided (the “Entry Form”), which is received by Administrator during the Entry Period as defined in Section 5 above. The information requested in the Entry Form consists of the following personal information: name, state of residence, country of residence, email address, phone number and age verification (confirmation that entrant is at least twenty-one (21) years old). All Qualifying Entries must be received by Administrator during the Entry Period in order to qualify for entry as described herein. Winners will be contacted by email sent to the email address provided in the Entry Form with further instructions on how to claim a prize; failure to respond to the email message within twenty-four (24) hours may result in disqualification. Winners will be notified during the Notice Period as defined in Section 7 below.

   AXS will review all entries to confirm that the entries meet the qualifications set forth herein. Submissions that contain vulgarity, inappropriate content and/or third parties that are under the age of twenty-one (21) years shall not be deemed a Qualifying Entry. Additionally, by participating in this Sweepstakes entrant consents to AXS’s use of the personal information submitted in the Entry Form for the purposes specified below, and in accordance with AXS Privacy PolicyUS or AXS Privacy Policy UK, as applicable.  In addition to AXS’ publicity requirements laid out in Section 9 below, the personal information collected may be used by Administrator to administer the Sweepstakes, to award the prizes, including verifying an entrant’s identity, postal address and telephone number in the event they are deemed a potential prize winner and to send promotional email communications in the event entrant has expressly consented to it. Entrant’s information may also be transferred to countries outside of entrant’s jurisdiction of residence, including the United States. While such other countries may not have privacy laws and regulations that provide the same level of protection to those that exist in the United Kingdom, Administrator will put appropriate safeguards in place to make sure that the transfer complies with applicable privacy laws.  By providing any personal information in connection with the Sweepstakes, entrants hereby expressly consent to such transfers of entrant’s personal information to the United States or other countries. Subject to Section 9 below, Entrants participation in this Sweepstakes constitutes consent for AXS to use entrants personal information solely for the purpose of administering the Sweepstakes and awarding the prizes, in accordance with AXS Privacy Policy US or AXS Privacy Policy UK, as applicable. Entrants also consent to have their personal information shared with Sponsor if they are selected by Administrator as prize winner and/or if they have expressly consented to receive promotional email communications from Sponsor. If any content submitted by publication is not deemed a Qualifying Entry by AXS, such entries will not be deemed eligible toward an entry into the Sweepstakes. In addition, if AXS reasonably determines that any entrant does not meet the requirements set forth herein as determined by AXS, such entrant will be disqualified from the Sweepstakes. All entrants and entries are subject to verification prior to the awarding of a prize. By entering into this Sweepstakes, each entrant fully and unconditionally agrees to be bound by and accepts these Official Rules and the decision by AXS (including, without limitation, decisions regarding eligibility of entries, the selection of entrants and winners, and the awarding of prizes), which are final and binding in all respects. In addition, if entrants are notified that they are a potential winner and they do not wish to accept the prize, they may decline the prize at that time.

7. DRAWINGS; ODDS; NOTIFICATION. Subject to the terms and conditions of these Official Rules, AXS will randomly select a potential prize winner from among all eligible entries received by AXS in the Sweepstakes within twenty-four (24) hours after the Entry Period closes and the winner will be notified shortly thereafter (the “Notice Period”). Odds of winning the prize depend on the number of eligible entries received by AXS in the Sweepstakes at the time of each drawing. No individual entrant is eligible to be a winner in more than one contest or sweepstakes administered by AXS in any calendar month as determined by the ending date of the applicable contest or sweepstakes. If prizes are not timely claimed, i.e., if prize is not claimed within forty-eight (48) hours after timestamp on the email from AXS, AXS shall randomly select alternate winners.

   The entrants selected must comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements. A potential winner will be notified by email provided in the Entry Form. A potential winner may, in AXS’s reasonable discretion, be required to execute and return to AXS an Affidavit of Eligibility and Liability and Publicity Release (an “Affidavit/Release”) in the form provided by AXS in order to claim their prize. Such Affidavit/Release may be similar to an Affidavit/Release that AXS shall require be acknowledged upon submission of any entry. Such Affidavit/Release must be returned to AXS by the date and/or time indicated within such documents. If a potential winner does not reply to AXS’s email within forty-eight (48) hours of the first attempt to contact him/her, or if a potential winner fails to return the Affidavit/Release within the specified time, or if any prize or prize notification is returned as undeliverable, or if a potential winner is found to be ineligible, or if a potential winner does not comply with the Official Rules, then the potential winner may be disqualified and an alternate winner selected by AXS or its designee in their place based on the selection criteria described above by AXS for the Sweepstakes. In such event, an alternate potential prize winner will be notified as described above and will be required to return the required documents to AXS as described above.

8. PRIZES. Subject to the terms and conditions of these Official Rules, two (2) prizes will be awarded in the Sweepstakes. Each prize consists of two (2) VIP tickets* to up to three (3) mutually agreed upon concerts of winner’s choosing at Red Rocks Amphitheater in Denver, CO, Santa Barbara Bowl in Santa Barbara, CA, and Mountain Winery in Saratoga, CA, scheduled to take place between June 1, 2023 and September 30, 2023. (the “Events”) and travel and accommodations as set forth below (dependent on winner’s place of residence).

   If winner is a resident of the United States: Winner will receive either (i) for each Event selected (for up to three (3) Events/trips),  one (1) domestic, round-trip, economy class air or train transportation for two (2) people (winner and a guest) from the major airport or train station nearest prize winner’s home within the U.S. to the major airport or train station nearest the Event venue(s) selected; transfer from the airport or train station to the hotel and back to airport or train station; one (1) double occupancy standard hotel room for up to two (2) nights in city/town nearest to venue, per trip, and a stipend to use towards meals, per trip, OR (ii) one (1) domestic, round-trip, economy class air transportation for two (2) people (winner and guest) to the major U.S. airport nearest to the first Event venue(s) selected (return trip shall be from the nearest major U.S. airport from the venue of the last Event selected, for up to three (3) Events to be taken in one (1) trip); one (1) double occupancy standard hotel room in city/town nearest to the Event(s) venue, for a total of up to ten (10) consecutive nights; domestic (US) economy class air or road transportation in between Event venue cities; and a stipend to use towards meals.

   If winner is a resident of the United Kingdom:  the winner will receive one (1) international round-trip, economy class air transportation for two (2) people (winner and a guest) to the major U.S. airport nearest to the first Event venue(s) selected (return trip shall be from the nearest major U.S. airport from the venue of the last Event selected, for up to three (3) Events to be taken in one (1) trip); one (1) double occupancy standard hotel room in city/town nearest to the Event(s) venue, for a total of up to ten (10) consecutive nights; domestic (US) economy class air or road transportation in between Event venue cities; and a stipend to use towards meals.

   *Tickets (including access to VIP) are subject to availability, venue capacity, and age restrictions.

   By claiming the Event tickets winners consent to AXS’ Terms Of Use. Selection of airline and hotel, and any seat and/or room assignments are at the discretion of the Promotion Entities, airline and/or hotel personnel. All other expenses not specifically mentioned herein are solely the winner’s responsibility. Alcoholic beverages are not included as part of the prize. Winner and guest must abide by all venue policies. AXS reserves the right to revoke full or partial prize from any winner or winner’s guest who it or venue personnel deem may, in its sole discretion, be intoxicated, be a safety risk, have violated any venue policy or law, or may bring the Promotion Entities into disrepute. Winner will be required to provide a credit card to hotel to cover incidentals which are not included in prize package. Travel must take place within one (1) day of the Event (or, at the discretion of Promotion Entities, within two (2) days of the Event); no alternate travel dates are available. If winner is unable or unwilling to travel on the dates specified, the prize will be forfeited and may be awarded to an alternate winner. All travel is subject to availability and restrictions. Winner and travel guest must travel on same itinerary. Winner and guest must be twenty-one (21) years of age or older. Winner and travel guest must sign and return a travel release before any ticketing of travel occurs. Winner and guest must have all necessary identification and/or travel documents (i.e., for a US resident, a valid U.S. government-issued passport or a valid state-issued driver’s license, Real ID-compliant license or ID, for UK residents, a valid UK government-issued passport), as applicable, required for travel (“Travel Documents”) and winner(s) agree to provide Promotion Entities with copies of Travel Documents necessary to book travel and accommodations. Winner and guest must comply with all airline, CDC regulations, and local government laws, rules and requirements, which may include, without limitation (as applicable), wearing masks, proof of vaccination status, proof of negative COVID-19 test administered by an approved facility, and possible quarantine. AXS and Trivago shall not be liable for additional costs or expenses due to any quarantine requirements, including the cost of changing any travel or hotel arrangements, which shall be the sole responsibility of winner. Winner understands that there are inherent risks involved in travel and that these risks may be present before, during and after the trip.  Promotion Entities are not responsible for changes in the schedule of any element of the prize or for any expenses incurred as a consequence of flight cancellation or delay. Promotion Entities are not responsible and will have no liability if winner and/or guest is for any reason not permitted to travel by the relevant airport authorities or misses a flight or other travel element. Any unclaimed and/or unused prize element will remain the property of Promotion Entities. Resale of tickets is prohibited. By claiming the Event tickets winners consent to AXS’ Terms Of Use. No purchase is necessary or required to access the prize. Prizes must be accepted as awarded, and prizes are awarded “AS IS” with no warranty, representation, or guarantee, express or implied, in fact or in law, made by or for which Promotion Entities shall be liable, INCLUDING, WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE. No substitution, assignment or transfer of a prize is permitted, except by AXS, who reserves the right to substitute a prize with another prize of greater or equal value, including cash, if a prize is not available for any reason as determined by AXS in its sole discretion. Each winner is solely and fully responsible for any and all costs, fees, taxes, assessments and expenses associated with prize award, receipt and use, including, without limitation, all federal, state and local taxes on the prize. US resident prize winner(s) must provide AXS with a valid W-9 form before any prize is awarded and AXS will issue winner(s) an IRS Form 1099 for the approximate retail value of the prize won, if the value of the prize is $600 or more.

   Approximate retail value (ARV) of total prizing awarded under this Sweepstakes is: Ten Thousand Dollars and No Cents ($10,000.00).

9. PUBLICITY. Except where prohibited by law, participation in this Sweepstakes constitutes entrant’s consent to AXS and Sponsor’s (and their related entities, successors’, assignees’ and designees’) use of winner’s name, likeness/photographs (if provided by entrant), state and country, for promotional purposes in any manner or media (including, without limitation, online), worldwide, in perpetuity, and without further payment, consideration, notice or consent, including for inclusion of entrant’s name and home state in the Winners List. If applicable, any person featured in entrant’s submission for the sweepstakes must also consent to AXS and Sponsor’s use of his/her name, likeness/photograph (if provided by entrant) and all other publicity rights. All submissions may be featured on AXS.com or AXS’ relevant social media pages regardless of whether they are selected as winners.

10. GENERAL CONDITIONS. AXS reserves the right, in its sole discretion, to terminate or suspend this Sweepstakes: (i) if, in AXS’s opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of this Sweepstakes; (ii) if viruses, bugs, unauthorized intervention, fraud, technical difficulties or failures or any other factor beyond AXS’s reasonable control corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes; or (iii) for any other reason in AXS’s sole discretion. In such event, AXS reserves the right (but does not have the obligation) in its sole discretion to award any or all of prize(s) at random from among eligible, non-suspect entries received up to the time of suspected impairment. AXS reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of this Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately damage any website or undermine the legitimate operation of this Sweepstakes is a violation of criminal and civil laws, and should such an attempt be made, AXS and Sponsor each reserve the right to seek damages and other remedies from any such person to the fullest extent permitted by law. AXS’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision or any other provision in these Official Rules.

11. RELEASE. By entering, each entrant in this Sweepstakes, forever and irrevocably releases and holds harmless Promotion Entities, their related entities, and their respective agents, advertising and promotion agencies, parent, affiliates, subsidiaries, other related entities, and prize suppliers, and all of their respective employees, officers, directors, shareholders and agents from and against all claims, damages or liabilities arising in whole or in part, directly or indirectly, from entrant’s participation and/or entry in this Sweepstakes and/or entrant’s award, receipt or use of any prize awarded in this Sweepstakes.

12. LIMITATIONS OF LIABILITY. Promotion Entities are not responsible for: (a) incorrect or inaccurate transcription of entry information or late, lost, unintelligible, illegible, damaged, mutilated, altered, incomplete, or misdirected entries or entries received through impermissible or illegitimate channels, all of which will be disqualified; (b) technical failures of any kind, including but not limited to the malfunctioning of any telephone, computer online systems, computer equipment, website, server provider, network, hardware or software, including without limitation AXS’s publishing tools; (c) the unavailability or inaccessibility of any website or service; (d) unauthorized intervention in any part of the entry process or this Sweepstakes; (e) printing, typographical, electronic or human errors which may occur in the offer or administration of this Sweepstakes or the processing of entries; (f) any injury or damage to persons or property, including but not limited to entrant’s computer, which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in this Sweepstakes, use of any prize awarded in the Sweepstakes, or from viewing or downloading any material from AXS’s website, regardless of whether the material was prepared by AXS, Sponsor or a third party, and regardless of whether the material is connected to AXS’s website by a hypertext link; or (g) any costs, expenses, claims, or liabilities related to any winner’s receipt or use of a prize awarded hereunder.

13. DISPUTES. Entrant agrees that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded shall be resolved individually, without resort to any form of class action, and solely and exclusively in a federal or state court located in Los Angeles, CA; entrant submits to sole and exclusive personal jurisdiction to said courts in the State of California for any such dispute and irrevocably waives any and all rights to object to such jurisdiction; (b) any and all claims, judgments, and awards shall be limited to actual out of pocket costs incurred, including costs associated with entering this Sweepstakes but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant or Promotion Entities in connection with this Sweepstakes shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules of provisions (whether of the State of California, the United States, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.

14. OFFICIAL RULES. These Official Rules are also available by sending a self-addressed postage-stamped envelope to “AXS and trivago Summer Venue Sweepstakes” c/o Sponsorships, AXS Group LLC, 425 W 11th Street, Los Angeles, CA 90015. Residents of Vermont need not affix return postage.

15. WINNER’S LIST. To request a list of winners, send a self-addressed postage-stamped envelope to “AXS and trivago Summer Venue Sweepstakes” c/o Sponsorships, AXS Group LLC, 425 W 11th Street, Los Angeles, CA 90015 by June 13, 2023. The Winner’s List will also be available digitally on the Sweepstakes website upon the conclusion of the Sweepstakes and selection of the winners.
